Paul Hastings' Cohen on horizontal merger reviews

The M&A landscape has changed dramatically since the rules governing merger reviews were adopted in 1992. that's one reason why the U.S. Department of Justice and the Federal Trade Commission are reviewing the Horizontal Merger Guidelines. As Michael Cohen, an antitrust partner with Paul, Hastings, Janofsky & Walker LLP, writes in the current issue of The Deal magazine, "the guidelines attempt to give corporations and counsel transparency and predictability regarding merger clearance." NVCA's Mark Heesen on succession plans

Take a lesson from Matrix Partners' Paul Ferri, advises National Venture Capital Association president Mark Heesen in Part 2 of The Deal's Behind the Money video interview. At 79, Ferri, whose firm's new $600 million fund is the second-largest VC fund raised this year, announced he will no longer lead new investments but will leave that job to his younger partners. M&A Outlook 2009: Have we witnessed the end of cross-border deals?

At the Deal's M&A Outlook 2009 conference, panelists Paul Beecy, tax partner at Grant Thornton LLP, Nick Rees, co-managing partner corporate and M&A group of Linklaters LLP, and Steve Baronoff, managing director and head of global M&A at Merrill Lynch & Co., spoke about cross-border dealmaking. In this video Beecy explains that dealmaking at the moment is very sparse and strategic, while Baronoff believes there will be a pause in dealmaking that will last until the second quarter of 2009. "Uncertainty is very dramatic in this period of time and even more dramatic in cross-border situations," he said.

Inside the Deal: Paul Hastings' John Douglas on Obama, PE and failing banks

The Federal Reserve's recent action to encourage private equity investment in banks was a helpful step, but it didn't go far enough. That's according to John Douglas, who chairs the banking and financial institutions group at Paul, Hastings, Janofsky & Walker LLP. In this edition of Inside The Deal, Douglas tells Suzanne Stevens that the Fed needs to set forth the basis with which PE firms can take a controlling interest in banks. Douglas, who addressed the topic in an article for The Deal newsweekly, says the Fed is working on the issue, but it's been very slow in coming. In the meantime, there's a healthy appetite among PE firms to invest in struggling banks.
