Gomez acquisition 'harbinger of things to come'

"Gomez could have gone public," said Ira Cohen, managing partner, Updata Advisors Inc., which represented Compuware Corp. (NASDAQ:CPWR) in its October acquisition of Internet analytics developer Gomez Inc. for $295 million cash. Compuware "knew that buying Gomez would be a game-changer, and they were willing to pay a price that pretty much equated with an IPO," said Cohen, who predicts the deal will be a "harbinger of things to come" in the new year as the IPO market continues to heat up. The Deal spoke with Cohen on location at the NYSE Euronext as part of our on-going video series about IPOs. Tim Armstrong: 'AOL was missing that spark'

"AOL was missing that spark of innovation," Tim Armstrong tells The Deal about the corporate culture he found when he joined AOL Inc. (NYSE:AOL) as CEO in March. To rekindle the creative flame, Armstrong set up AOL Ventures, which is charged with investing in startups, incubating projects initiated by employees and growing recent acquisitions, including Patch, Bebo, Truveo and Userplane. In the interview, Armstrong also addresses media coverage about which properties AOL may shed in the new year, dismissing it as speculation. MapQuest, he argues, "is one of the best known brands on the Internet. I'm sure there are a lot of people who'd like to own MapQuest, and AOL is one of them."

Weil's Radin on CEO's negotiating M&A

An October Delaware Court ruling reaffirmed the ability of corporate executives to negotiate transactions on behalf of the board, as long as there are no conflicts. The case followed the 2008 merger between Nymex Holdings Inc. and CME Group Inc. (NASDAQ:CME). Nymex shareholders alleged that the company's board breached its fiduciary duty by allowing its chairman and CEO to negotiate the transaction, which resulted in large severance payments to both executives. According to Stephen Radin, a securities and corporate governance lawyer with Weil, Gotshal & Manges LLP, the Delaware ruling provides further clarity in deals involving a corporate buyer and seller. Citi stock down, but TARP repay sign of strength

Citigroup Inc's. (NYSE:C) stock is down nearly 5% in late-afternoon trading Monday in reaction to the announcement that the bank will repay the Troubled Asset Relief Program, or TARP, $20 billion, but analysts say the news is good over the long term. As the Wall Street Journal put it, "Once the knee-jerk selling and the taxpayer is out of the way, Citi will be free to become a fat cat once again, and that should be good for the stock over the medium to long term." Repaying TARP is a sign of " financial strength and management strength" for any bank, said Chip MacDonald, partner, Jones Day, in a video interview with The Deal shot on Monday at the NYSE Euronext. Linklater's Schmidt on Pfizer-Wyeth's merger review

The approval by U.S. antitrust regulators of Pfizer Inc.'s (NYSE:PFE) acquisition of Wyeth is an outlier of how merger reviews will be conducted under the Obama administration. That's according to Jeffrey Schmidt, a partner with Linklaters and a former director of the Federal Trade Commission's office of competition under Pres. George W. Bush. Schmidt, who will be discussing the antitrust landscape at The Deal Economy 2010 conference Nov. 18 and 19, says based on reports about the review, it seems regulators expanded their investigation beyond what would have taken place under the previous administration. One of our last videos of our Decade of the Deal series pays a visit to Rodgin Cohen, the bank lawyer and Sullivan & Cromwell managing partner who Andrew Ross Sorkin in his new "Too Big to Fail" describes as "one of the most influential and yet least well-known people on Wall Street." Well, Cohen is pretty familiar to us at The Deal, not least for his role in many of the most important banking transactions of the past thirty years. But 2007 and 2008 provided the kind of challenges that even Cohen, who also had a history of crisis management, found unprecedented. Indeed, he proved ubiquitous throughout the tangled sequence of bailouts and bankruptcies last year, from orchestrating various sovereign wealth infusions to advising failing firms such as Bear Stearns Cos., Fannie Mae, Lehman Brothers, AIG and Wachovia, not to say the likes of Morgan Stanley and Goldman, Sachs & Co. It was quite a stretch. In Sorkin's book, people are always saying: Somebody call Cohen. In this clip, Cohen discusses some of the personal aspects of last year's bailouts and panics: The sense that one crisis continually bled into the next; the tendency of rescue plans to be hatched over weekends; the sheer nervous exhaustion of wrestling with an ever-shifting disaster. Cohen himself dates the crisis to August 2007, when Countrywide, the big subprime mortgage peddler, nearly failed - Bank of America injected $2 billion into it, leading to a takeover -- putting the entire system at risk. That systemic risk would become a hammering theme, month by month, weekend by weekend. Let Cohen take you into the heart of the crisis. - Robert Teitelman
